Therapists Contract and Information Form

This form must be completed before we are able to add you to our team.
Once we have reviewed the information we will add you and provide instructions on how to sync your calendar with the ETH calendar.  This can be done from Outlook, Google or Apple Calendars.

This Agreement is between

 

Expat Therapy Hub PLC, registered in Singapore, with its registered office at 8 Eu Tong Sen Street #18-81 The Central Singapore 059818  (“ETH) and

the therapist (“THERAPIST”) whose name and details are in the Therapist Form on the ETH Platform (“THERAPIST FORM”),

 

and consists of the Therapist Form and the provisions following, including Annex A, Annex B and Annex C, which follow.

 

A. THERAPIST acknowledges that s/he is an independent therapist and that this Agreement is not a contract of employment.

B. ETH operates an Expat Therapy Hub https://www.expattherapyhub.com, a platform designed to link expatriates and others seeking therapy with qualified therapists (“ETH Platform”).

C. THERAPIST is qualified to provide therapy as described in the Therapist Form.

D. ETH operates a central booking system to book clients (“CLIENTS”) for consultations with therapists (“Consultations”).

E. ETH wishes to introduce THERAPIST to Clients who are seeking therapy.

 

ETH and the THERAPIST agree as follows:

1 THERAPIST’s status


1.1 THERAPIST is an independent contractor, and nothing in this Agreement shall render him/her an employee, agent or partner of ETH and s/he shall not hold him/herself out as such. 


1.2 Neither Party shall have any right to enter into any contracts or commitments in the name, or on behalf, of the other Party, or to bind the other Party in any respect whatsoever.


1.3 THERAPIST shall be responsible for accounting for all his/her income tax and value added or sales tax liabilities and payment of all necessary national insurance, social security and similar contributions to the appropriate authorities in respect of THERAPIST and any of his/her employees or agents. THERAPIST hereby agrees to indemnify ETH against all costs, claims, actions, demands, penalties and liabilities incurred in respect of or arising in connection with any such tax or contributions or similar impost or payment of a fiscal nature which may be alleged or found to be due from ETH arising out of the provision of the services to Clients under this Agreement.

2 Duties


2.1           During the period of this Agreement THERAPIST shall comply with Annex A. 

3 Representations, Insurance and Indemnities 


3.1 THERAPIST warrants and represents that he/she is fully qualified and registered as set out in the Therapists Form and that there are no restrictions on such registration.  THERAPIST will provide ETH with evidence of qualification and registration not later than 7 days of signature of this Agreement, failing which ETH may choose to terminate this Agreement without notice and without any payment to THERAPIST.


3.2 If the THERAPIST has professional liability insurance in force, the THERAPIST will provide evidence of such insurance to ETH within 7 days of signature of this Agreement and immediately upon each renewal of THERAPIST’s professional liability insurance policies.


3.3 THERAPIST will indemnify and hold ETH harmless against any and all claims, liabilities, damages and all costs (including legal fees and costs) arising out of actual or alleged malpractice in connection with Clients being assessed for or receiving therapy pursuant to this Agreement or any other assessment or treatment performed by THERAPIST.


3.4 Indemnification pursuant to Clause 4.3 shall be subject to the following conditions:


3.4.1 the Indemnified Party as soon as reasonably practicable gives written notice to the Indemnifying Party of each and every claim of which it becomes aware;


3.4.2 the Indemnified Party makes no admission of liability, agreement or compromise in relation to the relevant claim without Indemnifying Party's prior written consent and in no other way compromises Indemnifying Party's settlement or defense of any such claim;


3.4.3 the Indemnified Party gives Indemnifying Party complete control of the defense or settlement of each claim at Indemnifying Party’s written request and the Indemnified Party gives the Indemnifying Party all reasonable assistance with the defense or settlement of such claim;


3.4.4 the Indemnified Party takes all reasonable steps to mitigate its losses and the damages and costs which a court may award against it or Indemnifying Party in relation to the Indemnified Party's claim following the Indemnified Party’s receipt of notice of such a claim.
